Terms of service
1. Who we are
DIEMshare is a neutral routing layer between Venice.ai DIEM holders (suppliers) and AI generation buyers. We do not run models. We facilitate payment in USDC on Base, we record settlements on-chain, and we take a flat 5% protocol fee per DIEM sold (suppliers receive 45¢, buyers pay 50¢).
2. The supplier-buyer contract
Every successful job is a two-party agreement between a supplier and a buyer, with DIEMshare as escrow. Suppliers warrant their Venice API keys are inference-only, DIEM-limited, with USD-spending disabled. Buyers agree generated content complies with applicable laws.
3. What we don't do
We are not a content moderator for generated media. Outputs are kept only for a limited window — by default 72 hours after you download a result, or 7 days if you never fetch it — then permanently deleted; we keep no permanent copy. We do not sell user data — we have very little to sell. We do not custody assets: deposits live in the EscrowContract on Base.
4. Escrow & claims
Buyer deposits lock on the EscrowContract. Supplier earnings accrue off-chain and batch-settle daily at 00:00 UTC. Suppliers self-claim by signing a transaction. Disputes are resolved by DIEMshare staff within 72 hours; decisions are recorded on-chain and final.
5. Account suspension
We suspend suppliers whose keys fail validation, return repeatedly corrupt outputs, or trigger abuse signals. Earnings accrued before suspension are claimable; future routing is paused.
6. No warranty, limits on liability
Services are provided as-is. We are not liable for Venice provider outages, model output quality, or downstream agent behavior. Maximum liability capped at 12 months of fees paid to DIEMshare.
7. Changes
Material changes get 30 days notice posted here and on the status page. Continued use after the effective date constitutes acceptance.
